These Terms govern your access to the MAQX website, app, tokens, and related technologies (“MAQX”), operated by MAQX Labs Ltd., a company incorporated in Ireland. By using MAQX, you agree to be bound by these Terms.

  1. Definitions

1.1 “MAQX” refers to the memory-light system including the application, token, smart contracts, and (optionally) hardware used to perform irreversible, cryptographically recorded actions, operated and maintained in part by MAQX Labs Ltd. (“the Company”).

1.2 User: any person interacting with MAQX.

1.3 Device: any phone, desktop, or embedded hardware used with MAQX.

1.4 Token: the MAQX digital unit used within the system.


  1. Terms of Token


  1. Nature of Token

    • MAQX is a digital utility token designed to function as a programmable, memoryless medium of exchange within the MAQX ecosystem.

    • It is not a security, share, or equity interest in MAQX Labs Ltd.

    • It does not represent ownership, voting rights, dividends, or profit-sharing.


  2. Core Functionality

    • MAQX tokens may be used for:

      • Peer-to-peer payments (irreversible, cryptographically signed).

      • Symbolic burns, witness actions, and verification commitments.

      • Interaction with pledge funds, regeneration (Future versions may include regen) and civic contracts as specified in the MAQX whitepaper.

    • Tokens are memoryless: balances and actions are verified cryptographically, not tied to permanent user identity.


  3. Issuance & Supply

    • Initial supply and distribution are defined in the MAQX whitepaper.

    • Founder and developer pools are clearly designated.

    • No issuance beyond the hard cap max supply as outlined in the Whitepaper. Future regen protocols, if activated, will reallocate within burned supply rather than expanding it.


  4. Risks & Limitations

    • Tokens carry no guarantee of value, liquidity, or exchangeability into fiat currency.

    • Users are solely responsible for securing their wallets and private keys. No recovery/reset possible.

    • Use of MAQX tokens may be restricted by law in some jurisdictions.


  5. Compliance & Restrictions

    • Users must not use MAQX for unlawful purposes, money laundering, terrorism financing, or prohibited transactions.

    • MAQX Labs Ltd reserves the right to restrict or revoke token use in line with applicable regulations.


  6. No Liability

    • MAQX Labs Ltd accepts no liability for:

      • Loss of private keys or access credentials.

      • Market volatility or third-party exchange issues.

      • Unauthorized or fraudulent use of tokens.


  7. The MAQX token contract has been tested locally with automated scripts, deployed and tested on the Sepolia test network, and scanned for common vulnerabilities using industry-standard tools.

    However, no third-party security audit has yet been conducted. Users should be aware that:

    • Undiscovered vulnerabilities may still exist.

    • MAQX Labs Ltd accepts no liability for losses arising from unintentional bugs or exploits prior to a formal audit.

    • A professional third-party audit will be commissioned before major liquidity events, centralized exchange listings, or large-scale integrations.

    By using MAQX tokens prior to the completion of a third-party audit, users acknowledge and accept the associated risks.

  1. Core Principles

2.1 No tracking. No accounts. No memory. MAQX does not store identity profiles or behavioral histories.

2.2 Irreversible actions. On-chain or cryptographically recorded actions cannot be undone. No refunds.

2.3 User responsibility. You are solely responsible for your wallet, private keys, and device security. Loss or compromise may result in permanent loss of access.

2.4 Cryptographic traces only. We aim to avoid personal identifiers; events are represented as cryptographic outputs.

2.5 Offline-first. Some features may work peer-to-peer and sync later; functionality varies by device and network.

  1. Eligibility & Use

3.1 Age. You must be at least 18 (or the legal age in your jurisdiction).

3.2 Restricted locations. You may not use MAQX where prohibited by law or if you are on any sanctions list.

3.3 Lawful use. Do not use MAQX for illegal activity, fraud, or sanctions evasion.

3.4 Commercial use. Any commercial integration (e.g., fiat conversion, third-party distribution) requires our written permission.

  1. Financial Notice

4.1 No investment advice. Information provided by MAQX is for product use only and not financial, tax, or legal advice.

4.2 Volatility & risk. Digital assets are volatile; prices may move rapidly. You accept all market, smart-contract, and operational risks.

4.3 Taxes. You are responsible for determining and paying any taxes arising from your use of MAQX.

  1. Third-Party Services

5.1 Gateways & partners. Fiat on/off-ramp, card, bank, or exchange services may be provided by independent third parties subject to their own terms, KYC/AML, and fees. We do not control or guarantee their services.

5.2 Links & components. Any third-party content or libraries are provided “as is”; use at your own risk.

5.3 Transactions may be monitored by partners or regulators for AML/CTF compliance.


  1. Token Actions

6.1 Finality. Burns, transfers, pledges, or other token actions are final once executed.

6.2 Smart-contract risk. Code may contain defects or experience downtime, congestion, or forks. MAQX is provided “as is” without warranties.

6.3 Upgrades. Features may evolve; we may patch, suspend, or retire contracts or interfaces with advance notice where feasible. Founder retains sole upgrade authority, limited to within the hard cap.


  1. Limitation of Liability

To the maximum extent permitted by law, MAQX and its contributors are not liable for: loss of tokens, mistaken transactions, unredeemed rewards, partner outages, indirect or consequential damages, or any loss arising from your failure to secure keys or comply with laws.

  1. IP & Brand

The MAQX name, marks, UI, and site content are owned by us or our licensors. You may not reproduce or modify them except as allowed by these Terms or with written permission.

  1. Suspension & Termination

We may suspend or terminate access (site, app, or services) for policy, legal, security, or abuse reasons. Your obligations under these Terms survive termination.

  1. Governance & Changes

10.1 MAQX may evolve through founder- or DAO-led processes.

10.2 We may update these Terms; changes are effective upon posting with the “Last updated” date. Continued use means acceptance.

  1. Jurisdiction

Unless stated otherwise, these Terms are governed by the laws of Ireland, and courts in Dublin, Ireland have exclusive jurisdiction. Mandatory consumer rights in your country remain unaffected.

  1. Token Purchase Methods

Presale Purchases

  • Presale purchases are made directly through the official MAQX presale smart contract. Presale allocations are capped at 100,000 MAQX per participant.

  • Tokens are allocated automatically at the tier price active at the time of transaction confirmation on-chain.

  • Presale purchases are irreversible and subject to the general Terms of Token.

In App Purchases

  • MAQX tokens may also be acquired within the official MAQX app, using supported payment methods.

  • In-app purchases are processed via integrated partners and are subject to partner fees and availability.

  • All in-app purchases are final once confirmed and linked to the wallet connected in the app.

OTC and Bank Transfer Purchases

  • No OTC sales are currently offered. These will not be available until further notice.

  • If and when OTC purchases are made available, they may be considered only through regulated banking channels under applicable AML/CTF compliance. If OTC purchases are introduced in the future, they will require enhanced due diligence (KYC) under AML/CTF 

  • All such purchases will be settled exclusively via bank accounts transfers. MAQX Labs Ltd. is the only entity authorized to issue such bank details for token purchases through its official communication channels.

  • Tokens allocated via any approved OTC purchase may be subject to processing delays and will not guarantee the exact presale tier visible at the time of transfer. Allocation will normally occur within the relevant presale phase bracket.

  • All OTC purchases, when available, will carry the same rights and disclaimers as other MAQX token purchases.
